How the Best Boards Engage with Management.

Abstract

The article focuses on how corporate boards can enhance their effectiveness by adopting an agile approach to engagement with management, tailored to the nature and importance of each decision. It identifies four distinct modes of board engagement—passive, mentor, partner, and control—each with unique characteristics and appropriate contexts. Research shows that most boards default to a single mode, often passive, which can undermine oversight and responsiveness, especially in complex or rapidly changing situations. The article recommends that boards create a decision inventory to set default engagement modes for various decision types and remain flexible to shift modes based on factors such as impact on value, conflicts of interest, mission implications, and board capabilities. This dynamic approach aims to improve board-management collaboration and organizational outcomes.
