Abstract
The article examines the differences between the municipal securities market and the corporate securities market in the U.S. It focuses on how municipal entities, like municipalities and other governmental bodies, derive their authority from state laws and constitutions. It highlights that the unique powers and protections of municipal entities stem from constitutional and common law, setting them apart from private corporations.
