Abstract
The article focuses on the concept of democratic stakeholder representativeness as a critical virtue for legitimate and effective stakeholder governance processes. It argues that mere stakeholder inclusion is insufficient without a systematic, democratic link between representatives and their constituencies, emphasizing authorization (election and de-election by stakeholders) and accountability (transparency and responsiveness) as core normative criteria derived from democracy theory. The authors operationalize these criteria with practical indicators and procedural guidance to enhance legitimacy and governance quality in both public and private organizational contexts. They highlight the current conceptual gap in stakeholder theory regarding representativeness and propose their framework as a normative benchmark to improve stakeholder identification, participation, and governance outcomes.
